ARAVEL provides enterprise software development, AI solutions, cloud engineering, cybersecurity, digital transformation, and related technology consulting services. Specific deliverables, timelines, fees, and service levels are defined in separate statements of work, master service agreements, or other written contracts (“Service Agreements”).
In the event of conflict between these Terms and a signed Service Agreement, the Service Agreement prevails for that engagement.
3. Website Use
You agree not to:
- Use the website for unlawful, fraudulent, or harmful purposes.
- Attempt unauthorized access to systems, accounts, or data.
- Introduce malware, scrape content excessively, or disrupt site operations.
- Reverse engineer, copy, or reproduce proprietary materials without permission.
- Misrepresent your identity or affiliation with any person or entity.
4. Intellectual Property
All content on this website — including text, graphics, logos, software, and design — is owned by or licensed to ARAVEL and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.
For client engagements, intellectual property ownership is governed by the applicable Service Agreement. Unless otherwise specified, clients retain ownership of custom deliverables upon full payment.
5. Confidentiality
Both parties may exchange confidential information during engagements. Each party agrees to protect such information using reasonable care and to use it only for the purposes of the engagement, subject to exceptions for publicly available information or legally required disclosures.
6. Fees and Payment
Fees, invoicing schedules, and payment terms are specified in Service Agreements. Unless stated otherwise, invoices are due within the period specified in the agreement. Late payments may incur interest or suspension of services as permitted by law and contract.
7. Warranties and Disclaimers
We warrant that services will be performed with reasonable skill and care in accordance with agreed specifications. Except as expressly stated in a Service Agreement, our website and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant uninterrupted or error-free operation of the website or that it will be free from vulnerabilities.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ARAVEL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from use of the website or services.
Our aggregate liability for claims arising under these Terms or related to website use shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim, or INR 50,000, whichever is greater — unless a Service Agreement specifies otherwise.
9. Indemnification
You agree to indemnify and hold harmless ARAVEL, its directors, officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the website, violation of these Terms, or infringement of third-party rights.
10. Termination
We may suspend or terminate access to the website at any time for violation of these Terms or for operational reasons. Service engagements may be terminated as set forth in the applicable Service Agreement. Provisions that by nature should survive termination — including intellectual property, confidentiality, limitation of liability, and governing law — shall survive.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to mandatory arbitration or alternative dispute resolution clauses in a Service Agreement, courts in Bhubaneswar, Odisha shall have exclusive jurisdiction over disputes arising from these Terms or website use.
12. Changes to Terms
We may revise these Terms at any time by posting an updated version on this page. Material changes will be indicated by an updated effective date. Continued use of the website after changes constitutes acceptance of the revised Terms.
